We look forward to creating something meaningful with you.

Terms

1. Services

LMP Studio (“Studio”) provides photography services, video production services, or a combination of both, depending on the services specifically selected and agreed upon by the Client in the approved project details or estimate.

This Agreement does not automatically include both photography and video services. The Client will receive only the services and deliverables expressly listed in their approved project details or estimate. Video recording, edited video clips, raw footage, audio capture, and other production services are included only when specifically agreed upon in writing.

The agreed project fee covers only the services, deliverables, production time, and usage rights identified in the approved project details or estimate.

Additional shooting time, locations, editing, retouching, revisions, equipment, travel, production expenses, or other services outside the agreed scope may incur additional charges. Material changes to the scope, fee, expenses, or timeline must be agreed upon in writing before the additional work or expense is incurred, where reasonably possible.

Unless expressly included in the approved project details, the project fee does not include professional audio recording, audio mixing or mastering, music licensing, advanced video effects, motion graphics, subtitles, additional video versions, or delivery of raw photographs or unedited video footage.

2. Payment & Booking

A booking retainer equal to twenty-five percent (25%) of the agreed project fee, excluding itemized production expenses unless expressly stated otherwise in the written project estimate, is due upon the Client’s signing or electronic acceptance of this Agreement. The retainer will be credited toward the agreed project fee.

The session is not officially booked until the Client has accepted this Agreement and the Studio has received the required retainer.

The remaining balance of the agreed project fee is due in full before the scheduled session date. Any separately approved production expenses must be paid according to the payment schedule stated in the applicable written estimate or project confirmation. The Studio is not required to commit to production expenses until the required funds or payment arrangements have been confirmed in writing.

All outstanding amounts due under this Agreement must be paid before final deliverables are delivered. Any applicable usage license becomes effective only after full payment has been received and the applicable license terms have been agreed upon in writing.

Payment of the booking retainer does not automatically make the retainer nonrefundable. Refunds and amounts due following cancellation or rescheduling are governed by Section 3 and applicable law.

3. Cancellation, Rescheduling & Project Expenses

3.1 Booking Retainer

The booking retainer described in Section 2 will be applied toward amounts properly due under this Section, including compensation for services already performed and authorized, and nonrecoverable production expenses.

If the Client cancels, any portion of the retainer exceeding the amounts properly due will be refunded to the Client. The retainer is not an automatic cancellation penalty, and all amounts due will be determined in accordance with this Section and applicable law.

3.2 Client Cancellation

The Client must provide written notice of cancellation. The cancellation date will be determined by when the Studio receives the written notice.

If the Client cancels the session, the Client remains responsible, to the extent permitted by law, for:

  • Payment for services already performed under this Agreement.

  • Authorized, nonrecoverable production expenses incurred specifically for the project.

  • Authorized third-party cancellation fees or other contractual commitments that the Studio is legally obligated to pay and cannot reasonably cancel, recover, reduce, or avoid.

The timing of cancellation affects which production commitments may already be unavoidable:

  • More than seven (7) days before the scheduled session: The Client remains responsible for services already performed and authorized, nonrecoverable expenses and commitments that cannot reasonably be canceled or recovered.

  • Within seven (7) days of the scheduled session: The Client remains responsible for the amounts described above, including authorized production commitments that have become noncancelable or otherwise unavoidable.

  • Within forty-eight (48) hours of the scheduled session or failure to appear (no-show): The Client remains responsible for the amounts described above, including reasonable, documented, authorized production costs and cancellation charges arising from commitments made specifically for the session.

These time periods do not create an automatic fee or penalty. The Studio will calculate amounts due based on the services performed, authorized expenses, actual nonrecoverable commitments, and applicable law.

The Studio will make reasonable efforts to mitigate avoidable losses. The Client will not be charged twice for the same expense or loss, and the Studio will not charge the Client for expenses that have been refunded, recovered, canceled without charge, or otherwise avoided.

3.3 Assistants, Equipment Rentals & Third-Party Production Expenses

The project fee covers only the services and deliverables expressly included in the agreed project scope. Assistants, additional crew, equipment rentals, studio or location rentals, travel, accommodations, permits, and other third-party production expenses are separate charges unless expressly included in the written project estimate or booking confirmation.

Before committing the Client to additional production expenses, the Studio must obtain the Client’s written approval identifying the expense or approved budget. The written approval should identify any material cancellation terms or nonrefundable commitments disclosed by the third-party provider, where those terms are available.

Once approved, the Client is responsible, to the extent permitted by law, for authorized third-party expenses and cancellation charges that the Studio becomes legally obligated to pay and cannot reasonably recover or avoid, including costs arising from the Client’s cancellation or rescheduling.

The Studio will make reasonable efforts to cancel, reduce, or recover such costs where practicable. Upon request, the Studio will provide reasonable documentation of the expenses charged, such as invoices, receipts, rental confirmations, or cancellation notices.

The Studio will not charge the Client for additional production expenses that were not approved in writing, unless the Client subsequently agrees to those expenses in writing.

3.4 Rescheduling

Rescheduling requests must be made in writing and are subject to the Studio’s availability and written confirmation. A rescheduling request does not automatically release the Client from existing payment obligations or third-party commitments.

If the Studio agrees to reschedule the session, previously paid amounts may be applied to the rescheduled session by written agreement. The Client remains responsible for authorized, nonrecoverable expenses or cancellation charges arising from the original booking or rescheduling, to the extent permitted by law.

Any revised session date, project scope, fee, or production budget must be confirmed in writing. If the parties cannot agree on a new date, the request will be treated as a cancellation under this Section.

3.5 Cancellation by Studio

If the Studio must cancel the session, the Studio will notify the Client promptly and make reasonable efforts to arrange an alternative date.

If rescheduling is not possible, the Studio will refund payments received for services not provided and return any unspent funds collected specifically for third-party production expenses. Any amounts properly attributable to services already performed or expenses that the Client previously authorized and that cannot reasonably be recovered will be addressed in accordance with applicable law and the parties’ written agreement.

The Studio will not charge the Client for services not provided or expenses that were not incurred.

4. Delays & Additional Time

The scheduled start time is the time the Studio is contracted to begin working. The Client is responsible for arriving on time and being prepared for the scheduled session.

Client-caused delays, including late arrival, lack of preparation, or delays in providing access to the agreed location or subjects, will reduce the shooting time available and do not automatically extend the scheduled end time.

Additional shooting time requested or required by the Client is subject to the Studio’s availability and requires the agreement of both parties before the additional time begins. Approved additional shooting time will be billed at $100 per hour, in one-hour increments. Any portion of an additional hour will be billed as a full hour. Whenever reasonably possible, the Studio will confirm the additional time and applicable charges in writing before the session is extended. The Studio is not obligated to extend the session beyond the scheduled end time.

Delays caused by the Studio will be addressed reasonably between the parties, including an appropriate adjustment to the session where practicable.

5. Deliverables & Delivery

5.1 Agreed Deliverables

The Client will receive only the photographs, videos, audio recordings, and other deliverables specifically identified in the approved project details or estimate. These details may include the number of final images, number and approximate length of edited video clips, delivery format, editing level, audio services, and whether raw footage is included.

The Studio is not required to provide deliverables that are not expressly included in the agreed scope. Additional images, video clips, alternate edits, extended versions, or other deliverables may be subject to additional fees and must be agreed upon in writing.

5.2 Photography & Image Editing

The Studio will select and professionally edit the final photographs included in the agreed package. The number of delivered images will be specified in the approved project details or estimate.

RAW files, rejected images, test shots, duplicate images, and unedited photographs are not included unless expressly agreed upon in writing. Additional photographs, advanced retouching, or editing beyond the agreed scope may incur additional charges.

The Studio retains creative discretion over image selection, editing style, color treatment, and final presentation, subject to any specific requirements agreed upon in writing.

5.3 Video Recording, Editing & Raw Footage

Video services will be provided only when included in the approved project details or estimate. Those details will specify whether the Client will receive edited video clips, raw footage, or both.

Where applicable, the agreed project details should identify the number of edited clips, approximate duration, intended format or aspect ratio, delivery format, and the editing and revision services included.

Raw footage consists of recorded video files that have not undergone the full editing process. Raw footage may include multiple takes, pauses, setup footage, imperfect moments, unused recordings, or other material that is not ready for publication. Raw footage does not include editing project files, timelines, or other working files unless expressly agreed upon in writing.

Unless included in the agreed scope, the project fee does not include every recorded clip, alternate edits, extensive revisions, advanced visual effects, motion graphics, subtitles, or additional video versions.

The Studio will make reasonable efforts to capture the agreed subjects, activities, or moments but cannot guarantee the capture of every spontaneous action, performance, expression, or take.

Recording video does not, by itself, mean that a finished or edited video will be delivered. Only the video deliverables expressly listed in the approved project details or estimate are included.

5.4 Audio & Third-Party Materials

The approved project details or estimate will identify whether audio capture is included and, where applicable, who is responsible for recording, supplying, editing, or synchronizing the audio.

Unless expressly included, video recording does not include professional audio recording, audio engineering, audio mixing or mastering, or synchronization of separately recorded audio.

If the project requires studio-recorded audio, live sound, a separately recorded performance, or music supplied by the Client or another party, the parties should confirm the required materials, responsibilities, delivery requirements, and applicable usage permissions in writing before production.

Each party is responsible for obtaining the rights and permissions for materials they supply or agree to provide, as applicable. Neither party should assume that music or other third-party materials are cleared for every intended use.

5.5 Delivery Timeline & Method

Unless otherwise agreed in writing, final edited photographs will be delivered within fourteen (14) business days after the photography session.

Video delivery timelines will be specified in the approved project details or estimate and may vary depending on the amount of footage, editing complexity, number of deliverables, and any required Client selections, feedback, approvals, or materials.

If delivery depends on information, materials, or approvals from the Client, the timeline may be adjusted accordingly. The Studio will notify the Client of any reasonably foreseeable significant delay.

Deliverables will generally be provided digitally through an online gallery, download link, file-transfer service, or another method selected by the Studio and agreed upon as appropriate for the project.

5.6 Excluded Files & Working Materials

Unless expressly included in the approved project details or estimate, the Client will not receive RAW photographs, rejected or test images, unedited video footage, unused takes, editing project files, timelines, working files, or other production materials.

The Studio retains discretion over the selection of final deliverables, except where specific selections or delivery requirements have been agreed upon in writing.

5.7 Additional Editing & Revisions

Additional photographs, retouching, video edits, alternate cuts, format conversions, subtitles, revisions, or other post-production services beyond the agreed scope may incur additional charges.

Before undertaking additional billable work, the Studio will communicate the proposed work, applicable fee, and any expected timeline adjustment and obtain the Client's written approval where reasonably possible.

5.8 File Storage & Backup

The Client is responsible for downloading and maintaining backup copies of delivered files. The Studio does not guarantee permanent storage or continued access to delivered files after the applicable gallery or download link expires.

Requests for extended storage, file retrieval, or redelivery may be subject to availability and additional fees agreed upon in writing.

6. Copyright, Licensing & Usage Rights

6.1 Copyright Ownership

Unless otherwise agreed in a separate written agreement signed by both parties, LMP Studio (“Studio”) retains the copyright to all photographs, video recordings, edited videos, and original creative work produced under this Agreement.

Payment for services and delivery of files do not transfer copyright ownership to the Client. The Client receives only the usage license expressly granted under this Agreement and any applicable project-specific terms agreed upon in writing.

6.2 Standard Client Usage License

After full payment of all amounts due for the project, the Studio grants the Client a non-exclusive, non-transferable, perpetual license to use the final deliverables for the purposes identified in the approved project details or estimate and the permitted uses described below.

Unless otherwise restricted by the approved project details or a separate written agreement, permitted uses may include:

  • Personal use, including personal websites, personal social media, and personal printing.

  • The Client's own professional, artistic, or business promotion, including the Client's website, organic social media, artist or business profiles, portfolio, press submissions, email marketing, and ordinary promotional materials directly related to the Client's own work, services, or event.

  • Editorial, publicity, or press submissions relating to the Client or the project, subject to any additional rights or permissions required by the receiving publisher or other party.

  • Limited paid social media boosts or promotions for the Client's own work, business, or event, provided the use does not exceed the scope of the agreed license.

This license applies only to the final deliverables included in the agreed project scope. It does not grant rights to excluded raw files, unused footage, working files, or other materials that have not been delivered under the Agreement.

Any project-specific restrictions, expanded usage rights, or additional license terms must be documented in writing.

6.3 Uses Requiring Additional Written Permission

The following uses are not included in the standard license unless expressly authorized in writing by the Studio:

  • Broad paid advertising campaigns or substantial paid advertising placements beyond the permitted uses described above.

  • Merchandise, resale products, product packaging, or other items intended for sale.

  • Advertising or promotional campaigns for third-party brands, companies, or organizations.

  • Selling, transferring, sublicensing, or otherwise granting independent usage rights to another party.

  • Exclusive usage rights, copyright assignment, or any other arrangement that materially limits the Studio's ownership or use of the work.

  • Any other use that falls outside the agreed license.

Additional permission may require a separate written license, additional fees, or revised terms.

The Client may share final deliverables with service providers, such as a website designer or social media manager, solely to support the Client's permitted uses. Those service providers may not independently use, sell, license, or repurpose the work.

6.4 Alterations, Restrictions & Third-Party Rights

The Client may crop, resize, compress, or reformat final deliverables as reasonably necessary for permitted uses. Substantial alterations, misleading edits, or modifications that materially change the Studio's work require prior written permission.

The Client may not claim authorship or copyright ownership of the Studio's work or use the work unlawfully, deceptively, or in a manner that violates another party's rights. Use of the work for AI training or substantial AI-generated alteration requires the Studio's prior written permission.

Unless otherwise agreed in writing, the Client is responsible for obtaining any additional permissions required for people, locations, artwork, logos, music, or other third-party materials that the Client supplies or directs the Studio to include. The Studio is responsible for obtaining permissions for third-party materials it expressly agrees in writing to supply or license.

6.5 Credit & Attribution

Where reasonably practical, the Client agrees to credit “LMP Studio,” “Photography: LMP Studio,” “Video: LMP Studio,” or another attribution agreed upon in writing.

Credit does not replace the requirement to obtain any permissions or usage rights necessary for the intended use.

6.6 Portfolio & Promotional Use

The Studio may display project deliverables in its portfolio, website, social media, exhibitions, competitions, publications, and other self-promotional materials only to the extent authorized under Section 7 of this Agreement.

Any confidentiality requirement, embargo, or additional restriction on portfolio or promotional use must be agreed upon in writing. Portfolio permission does not transfer copyright ownership or expand the Client's usage license.

7. Client Portfolio & Promotional Permission

The Client may select one of the following options to indicate whether LMP Studio may use photographs, videos, and other deliverables from the project for portfolio and promotional purposes. If neither option is selected, portfolio and promotional permission is not granted unless the Client later provides written authorization.

Option A — Permission Granted

The Client authorizes LMP Studio to display and use the project's deliverables in its portfolio, website, social media, exhibitions, competitions, publications, and other self-promotional materials, consistent with Section 6.6 of this Agreement.

Option B — Permission Not Granted

The Client does not authorize LMP Studio to use the project's deliverables for portfolio or promotional purposes. The Studio will not use the deliverables for those purposes unless the Client later provides written permission.

Any agreed embargo, delayed release date, confidentiality requirement, or additional restriction must be documented in writing.

The Client confirms that they have the authority to grant any permission they provide. This permission applies only to rights the Client controls and does not replace any consent or authorization required from other individuals or third parties.

The Client's portfolio-permission selection does not transfer copyright ownership or change the Client's usage license under Section 6.

8. Client Responsibilities:

  • Provide accurate project information and scheduling details.

  • Arrive prepared and on time.

  • Provide necessary wardrobe, products, props, talent, or other materials.

  • Provide access to the agreed location.

  • Obtain necessary permissions or releases for people, locations, products, or materials supplied by Client unless the Studio has agreed otherwise in writing.

  • Communicate important restrictions, deadlines, or requirements before the shoot.

  • The Studio is not responsible for circumstances resulting from information, materials, permissions, talent, locations, or other items that Client was responsible for providing.

9. Changes to the Project

Any change to the agreed project scope—including additional shooting time, locations, subjects, deliverables, editing, production requirements, or usage rights and licensing—may require an adjustment to the project fee, production expenses, delivery timeline, or licensing fee.

Any changes to the project scope, fees, expenses, or delivery timeline must be agreed upon in writing by both parties before the additional work is performed or additional expenses are committed, whenever reasonably possible.

The Studio is not obligated to perform work, provide additional deliverables, or grant usage rights beyond those expressly included in this Agreement unless the parties agree to the additional terms in writing.

If the Client requests changes during or after the session, the Studio may confirm any resulting additional charges, expenses, or timeline adjustments in writing before proceeding. Any additional production expenses remain subject to the approval requirements in Section 3.

Changes to usage rights or licensing must be documented in writing and may require a separate license agreement.

10. Circumstances Beyond Control (Force Majeure)

Neither party will be considered in breach of this Agreement for a delay or failure to perform caused by circumstances beyond that party’s reasonable control, including illness, injury, severe weather, natural disasters, fire, government restrictions, transportation disruptions, unsafe conditions, or other emergencies that make performance impracticable or unsafe.

Rescheduling

When reasonably possible, the Studio and Client will work together in good faith to reschedule the session. Any rescheduled date is subject to the Studio’s availability and must be confirmed in writing. Payments already made may be applied to the rescheduled session by written agreement.

Payments, Expenses & Refunds

If circumstances covered by this Section prevent the session from proceeding, the parties will determine whether rescheduling is reasonably possible before treating the booking as canceled.

If the session cannot reasonably be rescheduled, the Studio will refund payments attributable to services not provided, subject to applicable law and any amounts properly due for services already performed or authorized, nonrecoverable production expenses addressed under Section 3. The Studio will return any unspent funds collected specifically for third-party production expenses.

Neither party will be responsible for expenses or losses that are not recoverable under this Agreement or applicable law. The Studio will make reasonable efforts to mitigate avoidable losses, and the Client will not be charged twice for the same expense or loss.

Notice

The party affected by circumstances beyond their reasonable control will notify the other party as soon as reasonably practicable and explain the expected impact on the session or project.

Limitation

This Section does not automatically waive payment obligations for services already performed or authorized production expenses properly recoverable under Section 3. It also does not create an automatic cancellation penalty or limit any rights or remedies that cannot lawfully be waived.

11. Agreement & Acceptance

This Agreement, together with the project-specific details, approved written estimates, and any applicable written usage license or addendum, sets out the terms agreed upon by the Studio and Client for the project.

By signing or electronically accepting this Agreement, the Client confirms that they have read, understood, and agreed to its terms, including the provisions regarding services, payment, cancellation, production expenses, delivery, copyright, licensing, and image usage.

Any amendment to this Agreement must be made in writing and accepted by both parties. In the event of a conflict between this Agreement and a project-specific written amendment, the amendment will control only to the extent that it expressly identifies the provision being changed.

The booking is confirmed only after the Client has accepted this Agreement and the required booking retainer has been received.
